£3.1bn Mitie takeover may face UK national security review

OCS Group, owned by private-equity firm Clayton, Dubilier & Rice, will buy Mitie for £3.1bn at 221.6p per share — a 44.7% premium. Mitie holds sensitive UK government contracts in defence, health, and immigration. Ministers may review the deal under the National Security and Investment Act, which allows blocking acquisitions in sensitive sectors. Completion is expected in Q1 2027.
